Overview
These Terms of Service (the “Terms”) govern your access to and use of the Seido Knives website, including any related content, features, tools, products, and services (collectively, the “Service”). The Service is operated by Cloud Solutions Inc. d/b/a Seido Knives (“Seido Knives,” “we,” “us,” “our”).
By visiting, interacting with, or using the Service and/or purchasing something from us, you agree to be bound by these Terms, including any additional policies referenced here. If you do not agree, do not use the Service.

2) Access, Eligibility, and Account Responsibilities
You represent that you are at least the age of majority in your jurisdiction and have the legal capacity to enter into these Terms. If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You may not transfer, sell, assign, or license your account to any other person.
3) Products and Information Accuracy
We try to display product descriptions, specifications, and images as accurately as possible. However, product colors and appearance may vary based on your device, screen settings, lighting, and manufacturing variation, and we do not guarantee that your device’s display will be accurate or that products will appear exactly as shown.
All descriptions of products are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit the quantities of any products that we offer to any person, geographic region, or jurisdiction.
We reserve the right to correct errors, inaccuracies, or omissions at any time (including after an order is submitted), and to change or update information or cancel orders if any information is inaccurate, to the extent permitted by law.
4) Orders, Pricing, and Payment
When you place an order, you are making an offer to purchase. All purchases through the Service are subject to our acceptance. We may refuse, cancel, or limit orders at our discretion, including for suspected fraud, unauthorized transactions, resale activity, export activity, or errors in product or pricing information.
Prices, discounts, promotions, and availability may change without notice. Taxes, shipping, handling, customs, and import charges (if applicable) are shown at checkout where applicable.
You agree to provide current, complete, and accurate purchase and account information for all purchases made through the Service, and to promptly update your account and other information (including email address and payment details) so that we can complete your transactions and contact you as needed.
Payments are processed through Shopify and/or third-party payment providers (such as Shop Pay, Shopify Payments, Afterpay, PayPal, Apple Pay). Your payment method may be preauthorized at the time you place an order and charged when your order is processed and/or shipped.
You represent and warrant that purchases are for your personal or household use and not for commercial resale or export.
5) Shipping, Delivery, Returns, and Refunds
Shipping timeframes, delivery estimates, restrictions, and related terms are described in our Shipping Policy. Returns and refunds are governed by our Refund Policy.
We are not liable for shipping and delivery delays. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, incorrect addresses, theft after delivery, or events outside our control.
Risk of loss: Risk of loss and title for items purchased from us pass to you upon our delivery of the products to the carrier, to the extent permitted by applicable law and subject to our Shipping Policy.
6) Limited Lifetime Guarantee
We stand behind our products with a Limited Lifetime Guarantee, which generally covers genuine manufacturing defects in materials and workmanship during the usable life of the product under normal and intended use, subject to the terms, exclusions, and claim requirements described in our guarantee policy: https://seidoknives.com/pages/warranty.
Important conditions (summary): The Guarantee is non-transferable and generally applies only to original purchasers of authentic Seido knives purchased through SeidoKnives.com or authorized retailers. Warranty claims must be reported within 30 days of noticing the issue and made within 12 months of the original purchase date, and typically require proof of purchase and supporting photos/videos, as described in the Guarantee policy.
This summary does not replace the Guarantee policy. The Guarantee policy controls in the event of any conflict.
7) Product Use, Safety, and Assumption of Risk
Knives and related products are inherently sharp and can be dangerous if misused. You agree to use products safely, follow care instructions, and keep sharp items away from children. To the maximum extent permitted by law, you assume all risk of injury, damage, or loss resulting from improper use, misuse, or failure to follow instructions.
8) Promotions, Discounts, and Gift Cards
Promotions and discount codes may have additional terms, may be modified or ended at any time, and may be void where prohibited. Unless expressly stated, discounts cannot be combined. Gift cards (if offered) are subject to any terms provided at purchase.
9) User Content and Feedback (Reviews, Photos, Submissions)
If you submit or post content (e.g., reviews, photos, videos, comments, messages, suggestions, ideas, proposals, or other materials) (“User Content”), you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media for lawful business purposes (including marketing, operating and improving the Service), unless prohibited by applicable law.
You represent that you own or have the necessary rights to submit the User Content and that it does not violate any law or third-party rights. You are solely responsible for your User Content and its accuracy.
We may (but have no obligation to) monitor, edit, or remove User Content that we determine in our sole discretion violates these Terms or is unlawful, offensive, threatening, defamatory, obscene, or otherwise objectionable.
10) Intellectual Property
The Service and all content and materials on it (excluding User Content), including trademarks, logos, designs, text, graphics, photos, videos, audio, and software, are owned by or licensed to Seido Knives and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, reverse engineer, or create derivative works from the Service except as expressly permitted by law or with our written permission.
11) Prohibited Uses
You agree not to use the Service to:
- Violate any applicable law or regulation;
- Infringe or misappropriate intellectual property or privacy rights;
- Transmit malware, spam, or attempt to interfere with the Service’s security or operation;
- Scrape, crawl, or use automated means to access the Service in a manner that burdens our systems;
- Engage in fraudulent transactions, chargeback abuse, or unauthorized resale activity;
- Harass, abuse, defame, intimidate, or harm others;
- Interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet.
12) Third-Party Links and Optional Tools
The Service may include links to third-party websites, embedded features, or tools. We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms and privacy notices.
We may provide access to certain tools offered by third parties that we neither monitor nor control. You acknowledge and agree that we provide access to such tools “as is” and “as available” without warranties, representations, or conditions of any kind and without endorsement.
13) Relationship with Shopify
Our store is powered by Shopify, which provides the e-commerce platform that enables us to sell products to you. Any purchase you make through our store is made directly with Seido Knives, not Shopify. Shopify is not responsible for any aspect of the sale between you and us, including product claims, shipping, returns, or customer support, to the extent permitted by law.
14) Privacy

15) SMS / Mobile Messaging Terms
If you opt in to receive text messages from us, you agree to receive recurring automated promotional and transactional text messages at the number you provided. Consent is not a condition of purchase.
- Opt-out: Reply STOP, END, CANCEL, UNSUBSCRIBE, QUIT, REVOKE, or OPT OUT to cancel. You may also send any other clear message requesting to stop receiving texts. After you opt out, you may receive one final message confirming your request has been processed.

Any disputes relating to SMS/mobile messaging are governed by the Dispute Resolution section below.
16) Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL PRODUCTS AND CONTENT PROVIDED THROUGH THE SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.
Some jurisdictions do not allow limitations on implied warranties, so some of the above may not apply to you.
17) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SEIDO KNIVES OR ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR PRODUCTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE PRODUCT(S) OR SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS (US$100), WHICHEVER IS GREATER.
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
18) Indemnification
You agree to indemnify, defend, and hold harmless Seido Knives and its affiliates, officers, directors, employees, agents, and service providers from any claim, demand, loss, liability, damages, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms, your misuse of the Service, or your violation of any law or third-party rights.
19) Termination
We may suspend or terminate your access to the Service at any time for any reason, including suspected fraud or violations of these Terms. Sections that by their nature should survive termination will survive (including Dispute Resolution, IP, disclaimers, limitations of liability, and indemnification).
20) Governing Law
Except where prohibited by applicable law, these Terms and any dispute arising from or relating to these Terms, the Service, or any purchase will be governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules.
Important: If you are a consumer, you may have mandatory rights under the laws of your jurisdiction that cannot be limited or waived by contract. Nothing in these Terms limits those rights.
21) DISPUTE RESOLUTION; ARBITRATION; CLASS ACTION WAIVER
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. This section provides that many disputes may be resolved through binding arbitration on an individual basis, not in court and not as part of a class action, to the maximum extent permitted by applicable law.
21.1 Informal Resolution First
Before starting arbitration or a lawsuit, you agree to contact us and attempt to resolve the dispute informally. Email: support@seidoknives.com with the subject line “Dispute Notice.” Include your name, order number (if any), a description of the issue, and the relief you are requesting.
21.2 What Disputes Are Covered
To the maximum extent permitted by law, this Dispute Resolution section applies to any dispute, claim, or controversy arising out of or relating to these Terms, the Service, your purchase, or communications between you and us (including SMS), whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory.
21.3 Carve-Outs and Mandatory Rights (Including Québec Consumers)
Small claims / equivalent tribunal: Either party may bring an individual claim in small claims court (or equivalent tribunal) if it qualifies.
Injunctive relief for IP/security: Either party may seek injunctive or equitable relief in court to protect intellectual property rights, prevent unauthorized use of the Service, or address security issues.
Québec consumers: If you are a consumer residing in Québec, and applicable consumer protection law does not permit mandatory arbitration and/or class action waivers for your dispute, then the arbitration and class waiver provisions in this Section 21 will not apply to you to the extent they are prohibited. In that case, you and we agree to submit the dispute to the courts located in the judicial district of Montréal (or another court of competent jurisdiction in Québec), unless applicable law requires otherwise.
Other mandatory rights: If applicable law in your jurisdiction does not permit arbitration or does not permit waiving class or representative actions for a particular claim, then (only) those portions will not apply to that claim.
21.4 Agreement to Arbitrate (U.S. and Non-Québec, Where Permitted)
For customers to whom Section 21 is enforceable (for example, many U.S. customers and many customers outside Québec), and to the maximum extent permitted by law, you and Seido Knives agree that covered disputes will be resolved by binding arbitration on an individual basis.
21.5 U.S. Customers: FAA Applies
If you are a customer located in the United States, this arbitration agreement is governed by the U.S. Federal Arbitration Act (“FAA”) and applicable federal arbitration law, and not by provincial arbitration statutes, to the extent permitted by law.
21.6 Arbitration Administrator, Rules, and Process
The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, as modified by these Terms. If AAA is unavailable, the parties will agree on a comparable administrator.
Location / remote hearings: Arbitration may be conducted by video, phone, written submissions, or in-person, as appropriate. For in-person hearings, the location will be Montréal or Laval, Québec, unless applicable law requires a different location for consumers, or the arbitrator determines another location is more appropriate.
21.7 Fees and Accessibility
Arbitration is meant to be accessible. Filing, administration, and arbitrator fees will be governed by the AAA Consumer Arbitration Rules and applicable law. Where required by the AAA rules or applicable law for consumer disputes, we will pay or reimburse your arbitration fees so that arbitration is not cost-prohibitive.
21.8 Class Action Waiver (Where Permitted)
TO THE MAXIMUM EXTENT PERMITTED BY LAW: You and Seido Knives agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, private attorney general, or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative proceeding.
21.9 Batch / Mass Arbitration Procedures
If 25 or more similar arbitration demands are filed against Seido Knives by or with the assistance of the same law firm or organization within a 60-day period, the parties agree to work with the arbitration administrator to implement an efficient process, which may include bellwether proceedings or batching, consistent with the administrator’s rules and applicable law. This provision is intended to promote efficiency and does not eliminate any party’s right to have claims heard on the merits.
21.10 Opt-Out of Arbitration
You may opt out of this arbitration agreement within thirty (30) days of the date you first accept these Terms by sending an email to legal@seidoknives.com with the subject line “Arbitration Opt-Out.” Your email must include your full name and the email address used for your order/account. Opting out will not affect any other part of these Terms.
21.11 Severability
If any part of this Section 21 is found unenforceable, the remainder will be enforced to the maximum extent permitted by law. If the class action waiver is found unenforceable for a particular claim, then that claim will proceed in court (not arbitration), unless applicable law permits otherwise.
22) Severability (General)
If any provision of these Terms is found unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.
23) Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
24) Entire Agreement
These Terms and the policies incorporated by reference constitute the entire agreement between you and us regarding your use of the Service and supersede any prior agreements or communications.
25) Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, corporate reorganization, or sale of assets, or by operation of law.
26) Changes to These Terms
We may update these Terms from time to time. The “Last updated” date above indicates when these Terms were last revised. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
